Patent

Eos Plastics in accordance with its corporate policy, will not knowingly provide services or products for any goods or products that infringe upon any copyright, trademark or patent registration in the United States or any foreign country of which some or all of the rights belong to an individual or entity other than Eos Plastics customer.

As part of any order, Eos Plastics will require each of its customers to represent that (a) the customer has investigated any and all possible copyright, trademark or patent infringements concerning any work or product orders placed with Eos Plastics, and (b) the customer has no actual or implied knowledge of any potential copyright, trademark or patent infringement related to its agreement for goods or services with Eos Plastics.

Eos Plastics reserves the right to refuse at any time any and all work concerning a product or part thereof that is protected by copyright, trademark or patent registration not rightfully owned or licensed by our customer. In addition, each customer shall indemnify and defend Eos Plastics against any and all claims, cost, liability, damages and expenses incurred from any infringement or claim of infringement by a third party against Eos Plastics.

Non-Disclosure Agreement

This Non-Disclosure Agreement is entered into this ________________day of _________________, 20____ by and between ____________________ (Customer) and Eos Industries Inc. DBA Eos Plastics to prevent the unauthorized disclosure of Confidential Information (as defined below) of the Customer which Customer discloses to Eos Plastics for the purpose of developing a bid for the manufacture and assembly of products as requested by the Customer.

For purposes of this Agreement, Confidential Information shall mean any and all proprietary information that Customer owns and discloses to Eos Plastics which relates to a pattern, model, compilation, or device that derives independent economic value from not being generally known to the public or to other persons who can obtain economic value from its disclosure or use and which Customer has taken reasonable measures to keep confidential. Any obligation of non-disclosure and nonuse by Eos Plastics pursuant to this Agreement shall not extend to the use of any similar or related Confidential Information of other persons or entities received by Eos Plastics from other Customer's or sources.

In consideration of Customer's disclosure of Confidential Information, Eos Plastics hereby agrees

a) Unless receiving prior approval from the Customer, Eos Plastics shall not use for its own benefit, publish, manufacture, distribute or otherwise disclose to others for their benefit or to the detriment of the Customer, any of the Confidential Information disclosed by the Customer to Eos Plastics.

b) Eos Plastics will advise each of the companies, corporations or other entities to whom it provides access to any of the Confidential Information for preparation of bid information or for any manufacturing process that such entities are strictly prohibited from making any use of , publishing, distributing or otherwise disclosing to others or permitting others to use for their benefit or to the detriment of the Customer, any of the Confidential Information disclosed by the Customer to Eos Plastics.

c) Eos Plastics will obtain a non-disclosure agreement incorporating these terms from any company, corporation or entity that will obtain Confidential Information of the Customer from Eos Plastics for the purpose of the bidding and/or manufacturing process.
